Job Title: Legal counsel
Location: Milpitas, CA
Duration: Fulltime

Job description:
Responsibilities:
1.Provide legal and business advice on a wide array of commercial matters, including technology transactions involving the development, purchase, sale, or licensing of technology, as well as technology-related clauses (such as IP ownership, licensing and indemnification) in the context of broader commercial agreements
2.Develop, review, draft and negotiate a broad range of commercial, IP and other agreements, including strategic sales and procurement transactions, joint development agreements, IP development and licensing agreements (in-bound and out-bound), nondisclosure agreements, software licensing agreements and strategic collaboration agreements
3.Assist and educate clients and other stakeholders in understanding legal concepts relating to commercial transactions, including risk allocation, compliance with legal and regulatory requirements, IP rights allocation, licensing issues, antitrust, and other deal implications
4.Implement processes and process improvements, and advise on special projects
5.Collaborate across business units and functions to enable and improve overall performance of the Company
6.Interact with senior management, internal clients, suppliers and customers to influence decisions
7.Support the continuous improvement of standard form agreements and legal processes
8.Provide training to clients on various matters related to legal obligations and compliance
9.Some travel to international offices

Preferred Qualifications:
1.Preference for candidates with experience in semiconductor equipment industry or technical background
2.Ability to partner in initiatives and policies that influence all aspects of the business
3.Strong organizational skills and the ability to manage several simultaneous projects under deadline pressure
4.Intellectually curious
5.Good business judgment, and the ability to understand and evaluate legal and business risk

Minimum Qualifications:
JD
3+ years of demonstrated experience in drafting and negotiating commercial contracts
Motivated team player and collaborator
Ability to work with diverse a client base, including clients in international locations
Strong English communication skills, both verbally and in writing
